Terms of Service

These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("User," "you," or "your") and Sojourn, Inc. ("Sojourn," "Company," "we," "us," or "our"), governing your access to and use of the Sojourn platform, including any associated mobile applications, APIs, and services (collectively, the "Service").

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy (incorporated herein by reference). If you do not agree to these Terms, you must immediately cease all use of the Service.

For purposes of these Terms, the following definitions apply:

1.1 Age Requirement. The Service is intended for individuals who are at least thirteen (13) years of age. If you are between the ages of 13 and 17 (or the applicable age of majority in your jurisdiction), you represent and warrant that a parent or legal guardian has reviewed these Terms, consents to your use of the Service, and agrees to be bound by these Terms on your behalf. We do not knowingly collect Personal Data from children under the age of 13.

1.2 Account Creation. To access certain features of the Service, you must create an account using our supported OAuth authentication provider. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete at all times.

1.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You agree to notify us immediately at [email protected] of any actual or suspected unauthorized access to or use of your account.

1.4 Account Restrictions. You may not create more than one account per individual, create an account on behalf of another person without authorization, or transfer your account to any other person or entity without our prior written consent.

1.5 Account Deletion. You may request deletion of your account at any time by contacting us at [email protected]. Certain data may be retained as required by law or for legitimate business purposes as described in the Privacy Policy.

2.1 Nature of the Service. Sojourn is an AI-powered travel planning platform that provides personalized itinerary generation, destination recommendations, traveler profile assessments, weather-based activity suggestions, safety information aggregation, visa requirement guidance, packing list generation, and collaborative trip planning tools.

2.2 Planning Tool Only. The Service is a planning and informational tool only. Sojourn does not act as a travel agent, tour operator, airline, hotel, or booking intermediary. We do not sell, reserve, book, confirm, or guarantee any travel service, accommodation, transportation, activity, or experience. All bookings and reservations are made directly by you with independent Third-Party Service providers, and those providers' own terms, conditions, and cancellation policies govern such transactions.

2.3 No Professional Advice. Nothing in the Service constitutes legal advice, medical advice, financial advice, or professional travel advisory services. Information regarding visa requirements, entry restrictions, health precautions, and safety conditions is provided for general informational purposes only and does not substitute for advice from qualified legal counsel, licensed travel agents, official government sources, or healthcare professionals.

2.4 Service Availability. We reserve the right to modify, suspend, or discontinue the Service or any feature thereof at any time, with or without notice, for any reason, including maintenance, updates, or business decisions.

3.1 Nature of AI Output. The Service employs large language model artificial intelligence systems to generate Travel Information and other content. You expressly acknowledge and agree that:

• AI-Generated Content is produced by probabilistic machine learning systems and may contain errors, hallucinations, inaccuracies, outdated information, or content that is inappropriate for your specific circumstances.
• AI-Generated Content does not reflect real-time conditions. Opening hours, prices, availability, visa requirements, entry restrictions, health advisories, safety conditions, and local regulations change frequently and without notice.
• The AI systems underlying the Service have knowledge cutoff dates and may not reflect recent geopolitical events, natural disasters, public health emergencies, infrastructure changes, or business closures.
• Safety information, including Community Safety Reports incorporated into AI outputs, represents aggregated user-submitted information and does not constitute a professional security assessment.
• Visa and entry requirement information is provided as a general starting point only. You must independently verify all visa, entry, and documentation requirements with the relevant embassy, consulate, or official government immigration authority before travel.

3.2 User Responsibility for Verification. Before making any travel decision, booking, or expenditure in reliance on AI-Generated Content, you agree to independently verify all material information with authoritative sources, including official government travel advisories (e.g., U.S. Department of State, UK Foreign Commonwealth & Development Office), airline and carrier websites, accommodation providers, and relevant embassies or consulates.

3.3 No Guarantee of Accuracy. Sojourn makes no representation or warranty, express or implied, regarding the accuracy, completeness, reliability, timeliness, or suitability of any AI-Generated Content for any purpose. The inclusion of any business, attraction, or service in an AI-generated itinerary does not constitute an endorsement of that business, attraction, or service by Sojourn.

3.4 Rate Limits. The Service may impose usage limits on AI-Generated Content features on a per-user, per-day, or per-period basis. Such limits are subject to change at our discretion.

4.1 User-Submitted Reports. The Service allows Users to submit safety reports regarding destinations, neighborhoods, and travel conditions ("Safety Reports"). Safety Reports are User Content and reflect the subjective experience of individual travelers at a specific point in time.

4.2 No Verification. Sojourn does not independently verify the accuracy, completeness, or currency of Safety Reports. Safety Reports may be inaccurate, outdated, biased, or fabricated. You must not rely solely on Safety Reports when making decisions about personal safety or travel to potentially dangerous locations.

4.3 Reporting Standards. By submitting a Safety Report, you represent that the report reflects your genuine, good-faith experience or observation, is not defamatory, does not constitute harassment, and does not contain false information intended to harm any person, business, or destination.

4.4 Moderation. We reserve the right, but not the obligation, to review, edit, or remove Safety Reports that we determine, in our sole discretion, to be false, harmful, defamatory, or in violation of these Terms.

5.1 License Grant. By submitting, uploading, or otherwise making available any User Content through the Service, you grant Sojourn a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the operation and improvement of the Service.

5.2 Representations and Warranties. You represent and warrant that: (a) you own or have all necessary rights, licenses, and permissions to submit the User Content and to grant the license in Section 5.1; (b) the User Content does not infringe, misappropriate, or violate any third-party intellectual property rights, privacy rights, publicity rights, or other rights; (c) the User Content does not violate any applicable law or regulation; and (d) the User Content is accurate and not misleading.

5.3 No Obligation to Store. Sojourn has no obligation to store, maintain, or make available any User Content and may delete User Content at any time without notice.

You agree that you will not, and will not permit any third party to:

• Use the Service for any purpose that is unlawful, fraudulent, deceptive, or harmful, or in violation of any applicable local, national, or international law or regulation.
• Submit false, fabricated, defamatory, harassing, threatening, obscene, or pornographic content, including false Safety Reports.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service, through hacking, password mining, or any other means.
• Use any automated means, including bots, scrapers, crawlers, or data mining tools, to access, collect, or extract data from the Service without our prior written consent.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or trade secrets of the Service.
• Use the Service to transmit any unsolicited or unauthorized advertising, promotional materials, spam, chain letters, or any other form of solicitation.
• Upload or transmit viruses, malware, ransomware, or any other malicious code or software.
• Interfere with or disrupt the integrity, performance, or availability of the Service or the servers and networks connected to the Service.
• Use the Service for any commercial purpose, including reselling AI-Generated Content, without our prior written authorization.
• Circumvent, disable, or otherwise interfere with any security-related features of the Service.

7.1 Sojourn's Intellectual Property. The Service and all of its content, features, and functionality — including but not limited to the software, code, design, user interface, graphics, logos, trademarks, and non-user-generated text — are owned by Sojourn or its licensors and are protected by United States and international intellectual property laws.

7.2 Limited License to Users. Subject to your compliance with these Terms, Sojourn grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial travel planning purposes.

7.3 AI-Generated Itineraries. AI-generated itineraries and recommendations produced for your personal use may be used by you for personal, non-commercial travel planning purposes. You may not resell, redistribute, sublicense, or commercially exploit AI-Generated Content without our prior written consent.

7.4 Feedback. If you provide us with any feedback, suggestions, or ideas regarding the Service, you hereby assign to Sojourn all rights, title, and interest in and to such feedback, and Sojourn may use it for any purpose without compensation or attribution to you.

7.5 DMCA Notice. If you believe that any content on the Service infringes your copyright, please send a written notice to our designated DMCA agent at [email protected] containing: (a) a description of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact information; (d) a good-faith belief statement; (e) a statement under penalty of perjury that the information is accurate; and (f) your physical or electronic signature.

8.1 Third-Party Links. The Service contains links to Third-Party Services, including booking platforms, mapping services, weather providers, and accommodation platforms. These links are provided solely for your convenience. Sojourn does not endorse, control, or assume any responsibility for the content, products, services, privacy practices, or terms of any Third-Party Service.

8.2 Third-Party Transactions. Any transaction you conduct with a Third-Party Service is solely between you and that third party. Sojourn is not a party to such transactions and has no responsibility for the fulfillment, quality, safety, or legality of any goods or services provided by third parties.

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

The Service collects traveler profile information, including travel preferences, dietary restrictions, child ages, and quiz results, to personalize AI-Generated Content. Sojourn may use anonymized, aggregated data derived from User activity to improve the Service, conduct research, and generate statistical insights. Such aggregate data does not identify individual Users.

As of the Effective Date, the Service is offered free of charge. We reserve the right to introduce paid features, subscription tiers, or premium services at any time. We will provide reasonable advance notice of any pricing changes. If and when paid features are introduced, additional payment terms will be presented to you at the time of purchase and will supplement these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SOJOURN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (b) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (c) WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR SUITABILITY OF ANY AI-GENERATED CONTENT, TRAVEL INFORMATION, SAFETY REPORTS, VISA GUIDANCE, OR OTHER CONTENT AVAILABLE THROUGH THE SERVICE; AND (d) WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

Some jurisdictions do not allow the exclusion of implied warranties. To the extent such exclusions are prohibited by applicable law, the above exclusions apply to the fullest extent permitted.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOJOURN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS; LOSS OF DATA; LOSS OF GOODWILL; PERSONAL INJURY; PROPERTY DAMAGE; COSTS OF SUBSTITUTE GOODS OR SERVICES; OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE; (b) ANY AI-GENERATED CONTENT OR TRAVEL INFORMATION PROVIDED THROUGH THE SERVICE; (c) ANY BOOKING, TRANSACTION, OR INTERACTION WITH A THIRD-PARTY SERVICE PROVIDER; OR (d) UNAUTHORIZED ACCESS TO, USE OF, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOJOURN'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT YOU PAID TO SOJOURN FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, Sojourn's liability is limited to the greatest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless Sojourn and its affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your User Content, including any Safety Reports you submit; (c) your violation of these Terms or any applicable law or regulation; (d) your violation of any third-party right, including any intellectual property right, privacy right, or publicity right; (e) any dispute between you and any Third-Party Service provider; or (f) any misrepresentation made by you.

Sojourn shall not be liable for any delay or failure to perform any obligation under these Terms where such delay or failure results from any cause beyond Sojourn's reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic, war, terrorism, civil unrest, government action, labor disputes, power failures, internet or telecommunications outages, third-party service provider failures, or cyberattacks. In such circumstances, Sojourn's obligations shall be suspended for the duration of the force majeure event.

15.1 Termination by Sojourn. Sojourn reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms or conduct that Sojourn determines, in its sole discretion, to be harmful to other Users or the Service.

15.2 Effect of Termination. Upon termination of your account, your right to use the Service ceases immediately. Sections 3, 5.1, 5.3, 7.1, 7.4, 11, 12, 13, 16, 17, 18, 19, 20, and 21 shall survive any termination of these Terms.

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. Subject to the arbitration provisions in Section 20, you consent to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware for any litigation not subject to arbitration.

Sojourn reserves the right to modify these Terms at any time. We will notify you of material changes by: (a) updating the "Last Updated" date at the top of this page; (b) posting a notice within the Service; and/or (c) sending an email notification to the address associated with your account. Your continued use of the Service following the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

18.1 Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.

18.2 Waiver. No failure or delay by Sojourn in exercising any right, power, or privilege under these Terms shall operate as a waiver of such right. A waiver of any default shall not constitute a waiver of any subsequent default.

These Terms, together with the Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and Sojourn with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Service.

20.1 Agreement to Arbitrate. Except for disputes that qualify for small claims court and except as otherwise expressly provided in this Section, you and Sojourn agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Service (collectively, "Disputes"), shall be resolved solely by binding, individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, and not in any court. The arbitration shall be conducted in English. Judgment on the arbitration award may be entered in any court having jurisdiction.

20.2 Class Action Waiver. YOU AND SOJOURN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

20.3 Opt-Out Right. You have the right to opt out of the arbitration agreement in this Section by sending written notice to [email protected] within thirty (30) days of the date you first accepted these Terms. Your notice must include your name, account email address, and a clear statement that you wish to opt out of arbitration. If you opt out, all other provisions of these Terms remain in effect, and any disputes will be resolved in accordance with Section 16.

20.4 Exceptions. Either party may bring an individual action in small claims court. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

20.5 Severability of Class Action Waiver. If the class action waiver in Section 20.2 is found to be unenforceable in any proceeding, then the entirety of the arbitration agreement in this Section 20 shall be null and void with respect to that proceeding, and the proceeding shall proceed in court subject to Section 16.

21.1 Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without Sojourn's prior written consent. Sojourn may assign these Terms, in whole or in part, without restriction. Any purported assignment in violation of this Section shall be null and void.

21.2 No Third-Party Beneficiaries. These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties hereto.

21.3 Notices. All notices to Sojourn under these Terms shall be in writing and sent to [email protected]. Sojourn may provide notices to you via email to the address associated with your account or by posting a notice on the Service.

21.4 Electronic Signatures. You agree that clicking "I agree," creating an account, or otherwise affirmatively indicating acceptance of these Terms constitutes your electronic signature and has the same legal effect as a handwritten signature.
